An assignment is executed through a deed setting out the mark(s) being transferred, the consideration, and the effective date, and must be recorded with the Trade Marks Registry through a TM-P application to be legally effective against third parties and reflected on the public Register.
For buyers, transfer isn't just a paperwork exercise — it's worth confirming the mark's registration is current (renewed, not opposed or under rectification), that there are no existing licenses or encumbrances that would survive the transfer, and that the assignment properly covers all classes and related marks intended to be included in the deal.
