Rule 37 of the LLP Rules, 2009 provides a simplified route for closing a defunct Limited Liability Partnership — the striking off of the LLP's name from the Register of LLPs. Form 24 (Application for striking off the name of LLP from the register) is available to LLPs that have not commenced business since incorporation, or have not been carrying on any business for at least one financial year before the application, and have no assets, no liabilities, no pending legal proceedings, and no outstanding regulatory action.

The striking off route is significantly simpler than formal winding up under the LLP (Winding Up and Dissolution) Rules — there is no liquidator appointment, no creditor meeting, and no Tribunal involvement. The LLP files Form 24 with a statement of accounts showing nil assets and liabilities (prepared by a CA), a statement of pending litigation (confirming none), an indemnity bond signed by all designated partners, and an affidavit from each designated partner confirming the LLP's defunct status. All pending annual filings (Form 8 and Form 11) must be cleared before Form 24 is accepted.

Once Form 24 is filed, the Registrar publishes a notice on the MCA portal and in the Official Gazette, inviting objections. In the absence of any objections within the publication period, the Registrar strikes off the LLP's name and issues a notification of dissolution. The LLP ceases to exist as a legal entity from that date. We assess Form 24 eligibility, clear all pending filings, prepare the required statements and affidavits, and manage the full striking off process through to the Registrar's confirmation.

Frequently Asked Questions

Form 24 is the application for striking off an LLP's name from the Register of LLPs under Rule 37 of the LLP Rules. It can be filed by an LLP that has not commenced business since incorporation or has not been operating for at least one financial year, and has no assets, liabilities, or pending proceedings.
No — striking off under Rule 37 (Form 24) is a simpler administrative process for defunct LLPs with nothing to wind up. Winding up under the LLP (Winding Up and Dissolution) Rules involves a liquidator, asset realisation, creditor settlement, and Tribunal involvement — required where the LLP has assets or liabilities.
Yes — but they must be filed and acknowledged before Form 24 is submitted. The Registrar will not accept a Form 24 application from an LLP with outstanding annual filings. All late fees on the overdue forms must also be paid.
It is a statement prepared by a Chartered Accountant confirming that the LLP has no assets and no liabilities as at the date of the statement. It is one of the mandatory attachments to Form 24 and serves as documentary proof that the LLP has nothing to wind up.
After Form 24 is filed, the Registrar publishes a notice on MCA and in the Official Gazette. The notice period for objections is typically 30 days. In the absence of objections, the Registrar strikes off the LLP within approximately 60 to 90 days of the Form 24 submission.
Yes — a struck-off LLP can be restored by applying to the NCLT within a specified period, provided valid grounds for restoration are shown. However, restoration after striking off is more complex and costly than proper closure — ensuring the correct route is chosen at the outset avoids this.
