Contact UsRule 37 of the LLP Rules, 2009 provides a simplified route for closing a defunct Limited Liability Partnership — the striking off of the LLP's name from the Register of LLPs. Form 24 (Application for striking off the name of LLP from the register) is available to LLPs that have not commenced business since incorporation, or have not been carrying on any business for at least one financial year before the application, and have no assets, no liabilities, no pending legal proceedings, and no outstanding regulatory action.
The striking off route is significantly simpler than formal winding up under the LLP (Winding Up and Dissolution) Rules — there is no liquidator appointment, no creditor meeting, and no Tribunal involvement. The LLP files Form 24 with a statement of accounts showing nil assets and liabilities (prepared by a CA), a statement of pending litigation (confirming none), an indemnity bond signed by all designated partners, and an affidavit from each designated partner confirming the LLP's defunct status. All pending annual filings (Form 8 and Form 11) must be cleared before Form 24 is accepted.
Once Form 24 is filed, the Registrar publishes a notice on the MCA portal and in the Official Gazette, inviting objections. In the absence of any objections within the publication period, the Registrar strikes off the LLP's name and issues a notification of dissolution. The LLP ceases to exist as a legal entity from that date.
