A company name change under the Companies Act, 2013 involves amending the Name Clause of the Memorandum of Association — a constitutional document change that requires both board and shareholder approval before the Registrar of Companies can be approached. The process begins with reserving the proposed name through the Reserve Unique Name (RUN) mechanism on the MCA portal, which checks the name against existing company names and registered trademarks before confirming availability.

Once the name is reserved, a special resolution of shareholders must be passed at an extraordinary general meeting (or through postal ballot), and the resolution filed with the RoC via Form MGT-14 within 30 days. The formal name change application is then made through Form INC-24, upon which the RoC, if satisfied, issues a fresh Certificate of Incorporation bearing the new name and the company's existing CIN.

The company's legal identity, contracts, and CIN remain unchanged — the name change is a commercial and constitutional update, not a reconstitution. However, consequential updates to PAN, GST registration, bank accounts, letterheads, and third-party contracts are required to be made after the fresh COI is received.
