These services allow investors, creditors, banks, and counterparties to verify the status and compliance history of companies and directors before engaging, and provide investors with a formal route to recover unclaimed dividends and shares that have been transferred to the government fund.
The IEPF is a key investor-protection mechanism under the Companies Act. Dividends unclaimed for 7 or more years, and shares on which such dividends remain unclaimed, must be transferred to IEPF. Companies are required to file IEPF-1 and IEPF-2 to report amounts and shares transferred to the fund annually. Investors can claim their shares and dividends back from IEPF by filing Form IEPF-5 online and following the verification process with the company's Nodal Officer.
Significant Beneficial Ownership (SBO) compliance under Section 90 requires companies to identify individuals who ultimately hold or control 10% or more of shares, voting rights, or dividend rights — even indirectly — and file Form BEN-2 to declare such ownership. Charge-related filings — Form CHG-1 for creation and CHG-4 for satisfaction — record security interests over company assets and are searched by lenders and creditors during due diligence.
