It must be filed within 60 days of the closure of the financial year — by 30 May for LLPs with a March year-end — and captures a snapshot of the LLP's governance and ownership as at the close of the financial year: the names and details of all partners and designated partners, the total contribution received from each partner, a summary of business activities, and particulars of any penalties or compounding orders during the year.
Form 11 is distinct from Form 8 (Statement of Account and Solvency) — Form 11 is a governance and ownership document (analogous to the MGT-7 Annual Return for companies), while Form 8 is the financial document (analogous to AOC-4). Both must be filed annually, but on different timelines. Form 11 is signed by a designated partner using their Digital Signature Certificate (DSC); for LLPs with a turnover above ₹5 crore or contribution above ₹50 lakh, a Practicing Company Secretary must certify the Form 11.
Late filing of Form 11 attracts additional fees of ₹100 per day per form with no maximum cap — for an LLP that misses the 30 May deadline and files 6 months late, the late fee alone would be ₹18,300, with no ceiling.
