Form 4 — the Notice of appointment, cessation, change in name/address/designation of a designated partner or partner — is the prescribed form under the LLP Rules, 2009 for notifying the Registrar of LLPs of any change in the LLP's partner composition or a partner's personal details. It must be filed within 30 days of the date of the change. Partner changes covered by Form 4 include the appointment of a new partner or designated partner, the resignation or cessation of an existing one, a change in the name of a partner, a change in their address, and a change in their designation (between partner and designated partner).

When a new partner joins an LLP, the existing partners must execute a supplementary LLP Agreement (filed via Form 3) incorporating the new partner's details, contribution, and profit sharing ratio. Simultaneously, Form 4 must be filed to record the new partner's appointment on MCA. The new partner's consent to act as partner (and as designated partner, if applicable) must also be obtained — typically recorded in the LLP Agreement itself or in a separate letter of consent.

When a partner retires or is removed, the supplementary LLP Agreement must record the cessation and the revised profit sharing among remaining partners, and Form 4 must notify the Registrar of the cessation. Late filing of Form 4 attracts additional fees of ₹100 per day. We prepare the supplementary LLP Agreement, obtain required consents, and file Form 4 and Form 3 together within the 30-day statutory window whenever any partner change occurs.

Yes — when a partner is admitted or retires, the LLP Agreement must be updated to reflect the new partner composition, revised profit sharing ratios, and contribution details. The supplementary agreement is filed via Form 3 alongside Form 4.
Every LLP must have at least two designated partners at all times, with at least one being a resident of India. If a designated partner resigns and would reduce the count below two, a replacement must be appointed simultaneously.
Under the LLP Act, a partner can resign by giving notice as provided in the LLP Agreement. If the agreement is silent, a partner can resign by giving 30 days' notice to the other partners. The LLP then updates its records via Form 4 and supplementary agreement.
The Designated Partner Identification Number (DPIN) — issued by MCA — is equivalent to a DIN for directors. Every designated partner must have a valid DPIN before being appointed. If the incoming designated partner does not have one, a DPIN application (Form DIR-3 on MCA) must be filed first.
