Changing this address has different procedural requirements under the Companies Act, 2013 depending on whether the change is within the same city or town, to a different city in the same state, or to an entirely different state.
For an intra-city change, a board resolution and Form INC-22 are sufficient. For a change to a different city within the same state, a special resolution is required, and both MGT-14 and INC-23 must be filed. An inter-state change is the most involved — it requires a special resolution, publication of a notice in a local newspaper, a confirmation order from the National Company Law Tribunal (NCLT), and then a filing with the RoC of the new state via INC-23.
In every case, proof of the new registered office — a No Objection Certificate from the property owner, a copy of a recent utility bill, and a copy of the rent or lease agreement where applicable — must be attached to the filing.
