Form FC-GPR (Foreign Currency — Gross Provisional Return) is the mandatory RBI reporting form for Indian companies that have issued equity shares, preference shares, convertible notes, or other eligible instruments to foreign investors as FDI. The form must be filed within 30 days of the date of allotment of shares — not from the date of receipt of funds. This is one of the most important post-investment compliance obligations for any Indian company that has received foreign investment.

The FC-GPR filing is processed on the RBI's FIRMS portal through the company's Authorised Dealer (AD) bank. Before the bank will upload the form, it performs a KYC check on the foreign investor and a FEMA compliance review of the transaction. This requires a well-prepared document package: the Foreign Inward Remittance Certificate (FIRC) or bank statement evidencing the receipt, the KYC of the foreign investor, the board resolution for allotment, the allotment letter or share certificate, the demat credit confirmation, and — for unlisted companies — a FEMA-compliant valuation certificate.
