Appointment of Partner Services — Filing Form 4 for Every New LLP Partner or Designated Partner.

Every new partner or designated partner appointment in an LLP must be filed via Form 4 within 30 days — with consent documentation, DPIN verification, and a supplementary LLP Agreement. We manage the full appointment process.

In a Limited Liability Partnership, the admission of a new partner — whether as a regular partner or as a designated partner — is a formal event that must be notified to the Registrar of LLPs by filing Form 4 within 30 days of the appointment. Unlike a company where director appointments are board-driven, LLP partner admissions are governed by the LLP Agreement — the existing partners must consent to the admission, and the terms of the new partner's participation (contribution, profit sharing, and role) must be recorded in a supplementary LLP Agreement executed alongside the appointment.

For an incoming designated partner, an additional requirement applies: they must hold a valid Designated Partner Identification Number (DPIN) — the LLP equivalent of a DIN — before they can be appointed as a designated partner. A DPIN is obtained by filing Form DIR-3 on the MCA portal. Where the incoming person does not yet hold a DPIN, the DPIN application must be processed and the number allotted before Form 4 can be filed for the designated partner appointment. Regular (non-designated) partners do not require a DPIN.

The supplementary LLP Agreement must record the new partner's details, their agreed contribution to the LLP, their profit and loss sharing ratio, the effective date of their joining, and any other terms agreed by the partners. This supplementary agreement is then filed on MCA via Form 3 within 30 days. Forms 3 and 4 are typically filed together when a new partner joins. We manage the full admission process — DPIN application where needed, consent documentation, supplementary LLP Agreement, and the Form 3 and Form 4 filings.

Frequently Asked Questions

Form 4 (Notice of appointment, cessation, change in name/address/designation of a designated partner or partner) is filed within 30 days of a new partner's appointment to record the change on the Registrar of LLPs' records.
Yes — every designated partner must hold a valid DPIN (Designated Partner Identification Number) before being appointed. A DPIN is applied for via Form DIR-3 on MCA. Regular (non-designated) partners of an LLP do not require a DPIN.
Yes — the new partner's terms (contribution, profit sharing, effective date) must be recorded in a supplementary LLP Agreement, which is then filed with the Registrar via Form 3. Form 3 and Form 4 are typically filed together when a new partner joins.
Every LLP must have at least two designated partners, with at least one being a resident of India. When admitting a new designated partner, the LLP must ensure this minimum is maintained and that the residency requirement continues to be met.
Late filing of Form 4 attracts additional fees of ₹100 per day per form from the due date (30 days after appointment). The new partner also does not appear on the Registrar's public record until Form 4 is filed.
No — under the LLP Act, the terms of a partner's participation must be governed by the LLP Agreement. The admission of a new partner requires the existing partners to execute a supplementary LLP Agreement recording the new partner's terms. The LLP cannot be amended informally.
