Notice for Change of Name — LLP — Filing Form 5 When Your LLP Adopts a New Name.

An LLP changing its registered name must file Form 5 within 30 days of the name change, after confirming availability and passing a partner resolution. We check the name, prepare the resolution, and file on time.

An LLP that wishes to change its registered name does so by filing Form 5 (Notice for Change of Name of LLP) with the Registrar of LLPs within 30 days of the date of the name change. The process begins with confirming that the proposed new name is available — it must not be identical to or closely resemble any existing company or LLP name registered on MCA, and must not violate MCA's naming guidelines for LLPs. Once the name is confirmed as available, the partners pass a resolution adopting the new name.

Unlike a company name change — which requires a special resolution of shareholders, RUN filing, MGT-14, and INC-24 — an LLP name change is relatively straightforward. The partner resolution is passed (typically at a partners' meeting or through a written resolution signed by all partners), and Form 5 is filed within 30 days with the resolution as an attachment. MCA updates the LLP's name in its records and the new name reflects on the LLP's public MCA page. The LLP's LLPIN (LLP Identification Number) remains unchanged.

After the name change, the LLP's incorporation certificate reflects the old name — a new certificate with the updated name can be requested. More practically, the GST registration, PAN, bank accounts, letterheads, and any contracts or licences referencing the old name must be updated. We handle the full name change process — availability check, partner resolution, Form 5 filing, and guidance on consequential updates.
