It must be filed within 30 days of the date of the change. Partner changes covered by Form 4 include the appointment of a new partner or designated partner, the resignation or cessation of an existing one, a change in the name of a partner, a change in their address, and a change in their designation (between partner and designated partner).
When a new partner joins an LLP, the existing partners must execute a supplementary LLP Agreement (filed via Form 3) incorporating the new partner's details, contribution, and profit sharing ratio. Simultaneously, Form 4 must be filed to record the new partner's appointment on MCA. The new partner's consent to act as partner (and as designated partner, if applicable) must also be obtained — typically recorded in the LLP Agreement itself or in a separate letter of consent.
When a partner retires or is removed, the supplementary LLP Agreement must record the cessation and the revised profit sharing among remaining partners, and Form 4 must notify the Registrar of the cessation. Late filing of Form 4 attracts additional fees of ₹100 per day.
