A Limited Liability Partnership must have a registered office capable of receiving all communications and notices at all times. When this address changes — whether within the same state or to a different state — the change must be intimated to the Registrar of LLPs by filing Form 15 (Notice for change of place of registered office) within 30 days of the change. The filing requires a partner or designated partner resolution authorising the change and proof of the new address.

For an address change within the same state, a designated partner resolution is sufficient and Form 15 is filed with the address proof directly. For an address change to a different state, the LLP's registered address in its LLP Agreement also changes — and a supplementary LLP Agreement (filed via Form 3) reflecting the new state is required alongside Form 15. Additionally, because the LLP falls under the jurisdiction of the Registrar of LLPs in the new state, appropriate coordination with both Registrar offices is needed.

Address proof for the new registered office must include a No Objection Certificate from the property owner (if the LLP does not own the property), a copy of a recent utility bill at the new address (electricity, telephone, or water bill not older than 2 months), and a copy of the lease or rent agreement where applicable. Late filing of Form 15 attracts additional fees of ₹100 per day.
