It is used in two distinct situations: first, after incorporation, to formally establish the registered office — a company must have a registered office within 30 days of incorporation and file INC-22 to notify the RoC of the address; second, when the registered office changes to a new address within the same city, town, or village (i.e., within the same RoC jurisdiction), where INC-22 covers the intra-city change.
For registered office changes to a different city within the same state, or to a different state altogether, INC-22 is not the applicable form — those changes require Form INC-23 (and NCLT confirmation for inter-state changes). INC-22 is specifically the intra-jurisdiction form. The filing requires the company to attach a No Objection Certificate from the property owner (if the property is not owned by the company), a copy of a recent utility bill at the new address (not older than 2 months), and a copy of the lease or rent agreement where applicable — along with a director's declaration verifying that the address is the company's registered office.
Late filing of INC-22 (beyond 30 days of incorporation) or failure to establish a registered office constitutes a continuing offence, attracting daily penalties. Where an intra-city change is involved, INC-22 must be filed within 30 days of the board resolution authorising the change.
