Existing companies changing their name must first reserve the proposed name via the RUN (Reserve Unique Name) form on MCA before filing INC-24. We check availability, file RUN, and manage the full name change through to the fresh COI.

When an existing company wants to change its registered name, the process begins with reserving the proposed new name on MCA using the Reserve Unique Name (RUN) form — distinct from SPICe+ Part A, which is used for reserving names for new incorporations. The RUN application is filed with the proposed name (and an alternative, where possible) along with the company's CIN, and MCA checks the proposed name against all existing company names, LLP names, and trademark databases before approving the reservation. An approved RUN reservation is valid for 20 days.

Once the name is reserved via RUN, the company must pass a special resolution of shareholders at an extraordinary general meeting (or through postal ballot) authorising the name change. The special resolution and the altered Memorandum of Association must be filed with the RoC through Form MGT-14 within 30 days of passing the resolution. The formal name change application (Form INC-24) is then filed, accompanied by the RUN approval, altered MOA, and the special resolution — upon which the RoC, if satisfied, issues a fresh Certificate of Incorporation bearing the new name.

The name change does not affect the company's CIN, legal identity, or existing contracts — all rights and obligations continue under the new name. However, consequential updates to PAN, GST registration, bank account mandates, letterheads, rubber stamps, contracts, and licences must be made after the fresh COI is received.
