Ongoing compliance under the Companies Act, 2013 extends well beyond the annual filing cycle — it encompasses the correct conduct of board meetings, maintenance of statutory registers, director-level obligations, and periodic returns that must be managed consistently throughout the financial year. For a private limited company, the Act requires a minimum of four board meetings per year with no gap of more than 120 days between consecutive meetings, proper notice and quorum, and minutes prepared and signed within 30 days of each meeting.

Statutory registers — the Register of Members, Register of Directors, Register of Charges, Register of Contracts, and others prescribed under the Act — must be maintained and updated as events occur. Separately, companies above prescribed thresholds are required to undergo a Secretarial Audit by a practicing Company Secretary each year, with the MR-3 report attached to the Board's Report. Director KYC (DIR-3 KYC) must be filed annually by every DIN holder by 30 September to keep the DIN active.

Two periodic returns add to the compliance load for many companies: MSME-1 (return of outstanding payments to MSME suppliers exceeding 45 days) must be filed twice yearly, and companies with outstanding deposits or loans must file DPT-3 annually by 30 June. Frequently Asked Questions

Under Section 173, every company must hold at least four board meetings in a calendar year, with not more than 120 days between two consecutive meetings. OPCs and small companies may hold only two meetings per year, with a 90-day gap maximum.
DIR-3 KYC must be filed by 30 September each year by every person who has been allotted a DIN on or before 31 March of that financial year. Failure to file deactivates the DIN — the director cannot sign any MCA form until it is reactivated by filing DIR-3 KYC with an additional fee.
MSME-1 is a half-yearly return filed by companies with outstanding payments to MSME suppliers for more than 45 days. It is filed for April–September (by 31 October) and October–March (by 30 April). Companies with no outstanding MSME dues are not required to file.
Secretarial Audit (MR-3) is mandatory for public companies with paid-up capital of ₹50 crore or more or turnover of ₹250 crore or more, and for all listed companies. Most private limited companies are exempt unless they are subsidiaries of listed companies or notified by MCA.
Companies must maintain a Register of Members (Section 88), Register of Directors and KMPs, Register of Contracts (MBP-4), Register of Charges, Register of Loans, and Minutes Books for board and general meetings. These must be kept at the registered office and be available for inspection.
DPT-3 is an annual return of outstanding deposits or outstanding loans/transactions not treated as deposits under the Companies Act. Every company except government companies must file DPT-3 by 30 June each year, reporting the position as at 31 March.
