Form MGT-7 is the Annual Return that every company must file with the Registrar of Companies, capturing a comprehensive snapshot of the company's shareholding structure, directorship, key managerial personnel, registered office, indebtedness, and governance events as at the last day of the financial year (31 March). It is distinct from the financial statements filed via AOC-4 — MGT-7 is an ownership and governance document, not a financial one.

The Annual Return must be filed within 60 days of the Annual General Meeting. For One Person Companies and small companies, a simplified form — MGT-7A — is applicable. For companies with a paid-up capital of ₹10 crore or more, or a turnover of ₹50 crore or more, the Annual Return must be certified by a practicing Company Secretary. Companies that are required to have a whole-time Company Secretary must have the CS sign the Annual Return.

Late filing of MGT-7 attracts additional fees of ₹100 per day per form with no maximum cap — making timely filing critical, particularly for companies whose AGMs fall in September (the deadline for most companies with a March financial year end).
