A Limited Liability Partnership (LLP) combines the flexibility of a partnership with the limited liability protection of a company. Governed by the Limited Liability Partnership Act, 2008, an LLP is a separate legal entity — it can own property, enter into contracts, and sue or be sued in its own name. Each partner's liability is limited to their agreed contribution, protecting personal assets from business obligations of the LLP or the misconduct of other partners.

LLPs are popular among professionals (chartered accountants, architects, lawyers), service businesses, and family-owned enterprises seeking a simpler structure than a company with fewer compliance obligations. Incorporation is done via the FiLLiP (Form for incorporation of Limited Liability Partnership) on the MCA portal. A minimum of 2 designated partners are required, with at least one being a resident of India. The LLP Agreement — which governs the rights and duties of partners — must be filed within 30 days of incorporation in Form 3.

Annual compliance for an LLP consists of Form 8 (Statement of Accounts and Solvency) and Form 11 (Annual Return), along with income tax returns. If turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh, audit is mandatory. We handle the complete registration and manage ongoing annual filings so you remain compliant at all times.

Frequently Asked Questions

An LLP is a separate legal entity governed by the Limited Liability Partnership Act, 2008. Unlike a traditional partnership firm, partners in an LLP have limited liability — their personal assets are not at risk for the LLP's debts beyond their agreed contribution. The LLP also has perpetual succession, meaning it continues regardless of changes in partners.
A minimum of 2 designated partners are required to incorporate an LLP. At least one designated partner must be a resident of India. There is no minimum capital contribution requirement. Both individuals and body corporates can be partners in an LLP.
FiLLiP (Form for incorporation of Limited Liability Partnership) is the integrated form on the MCA portal used to incorporate an LLP. It covers name reservation, DPIN allotment for up to 2 designated partners, and submission of the LLP incorporation application in a single integrated form.
The LLP Agreement must be executed and filed with the MCA in Form 3 within 30 days of the date of incorporation of the LLP. Failure to file within 30 days attracts additional fees and penalties. If no agreement is filed, the provisions of Schedule I of the LLP Act apply as default.
An LLP must file Form 11 (Annual Return) within 60 days of the close of the financial year (by 30 May), Form 8 (Statement of Accounts and Solvency) within 30 days of 6 months from the close of the financial year (by 30 October), and income tax returns. If turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh, audit is mandatory.
Yes. An LLP can be converted to a Private Limited Company under Section 366 of the Companies Act, 2013 read with the Companies (Authorised to Register) Rules, 2014. The process involves filing with the MCA and requires a minimum of 7 partners or consent of all partners. We advise on the most suitable conversion route based on your structure.
